Şirketlere Yapılan Sermaye Yatırımları Ortakların Minimum Getiri Beklentisini Karşılayabiliyor Mu?

Bu çalışmanın amacı, ortaklara dağıtılan birinci temettünün, günümüz piyasa şartlarında
ortakların minimum getiri beklentisini karşılayıp karşılamadığının araştırılmasıdır. Bu
doğrultuda nicel veri analizi yöntemi kullanılarak yapılan çalışmada, ödenmiş sermaye
üzerinden sabit oranda ödenen birinci temettü, riski en az olan ve tüm finans piyasalarında
minimum getiri oranı olarak kabul gören, “Devlet İç Borçlanma Senedi” faiz oranlarıyla
karşılaştırılarak analiz edilmiştir. Ayrıca çalışma kapsamında, kanun maddesinde öngörülen
birinci temettünün sabit yüzde beşlik oranı, iktisadi fonksiyonlarla doğrulanan “Sermaye Gelir Oranı” açısından da incelenmiştir. Çalışma sonucunda, gerek şirketlerin ödenmiş
sermayelerinin kayıtlı değerinin muhasebe açısından güncellenememesi gerekse dönemsel
makroekonomik göstergelerdeki dalgalanmalardan dolayı, ortaklara dağıtılan birinci
temettünün, sermaye piyasalarında kabul gören minimum getiriden, ortalama 3 ile 30 kat
arasında daha az olduğu tespit edilmiştir. Bu durum, ortakların minimum getiri beklentisini
karşılamamakla beraber şirketlerin sermaye kaynaklarına ulaşmasını zorlaştırmakta aynı
zamanda şirketleri borçlanmaya itmektedir. Çalışma kapsamında, bu sorunun çözümü
olarak ise, “birinci temettü oranının, yatırımların minimum getiri oranı olarak kabul gören,
o yılki devlet iç borçlanma senedi faiz oranlarına bağlanması” önerilmektedir. The aim of this study is to investigate whether the primary dividend distributed to the
partners meets the minimum return expectation of the partners in nowadays market
conditions. In this context using the quantitative data analysis method in the study, the
primary dividend which is paid on a fixed basis over the paid capital was analyzed by
comparing with the " State Bill of Bond Interest Ratio " which is accepted that it has
minimum risks and the minimum rate of investment's return in all financial markets. In
addition, the fixed rate of the first dividend which envisaged percent of 5 in the law was
also examined in terms of "Capital-Income Ratio", which is confirmed by economic science
in this study. Wherefore the fluctuations in periodic macroeconomic indicators and the paid
capital of the companies can not be updated in terms of accounting, it has been determined
that the primary dividend distributed to the shareholders is between 3 and 30 times less than
the average accepted in the capital markets. This situation makes it difficult to reach the
capital resources for companies and as well as it has not meet the shareholder's expectation
of the minimum return, but at the same time, it causes to borrow for the companies. It is
proposed that, "the primary dividend rate should be associated to the state bill of bond
interest ratio of that year which are accepted as the minimum rate of return of the
investments" for the solution of this problem in the scope of the study.
